If the Subscriber is from Singapore, the Subscriber acknowledges that the information it is about to view is only for Accredited Investors (as defined in section 4A of the Securities and Futures Act 2001 of Singapore (“SFA”)) in reliance on the exemption for restricted schemes under Section 305 of the SFA, and not to the retail public. By accessing the following webpages, the Subscriber acknowledges and represents that it is an “Accredited Investor” which is:
(i) an individual (1) whose net personal assets exceed S$2 million (~ USD 1.5 million) of which the net equity of the individual’s primary residence is not more than S$1 million (~ USD 750,000) (or its equivalent in value in any foreign currency), (2) whose net financial assets exceed S$1 million (~ USD 750,000) or (3) whose income in the preceding 12 months is not less than S$300,000 (~ USD 250,000) (or its equivalent in value in any foreign currency);
(ii) a corporation with net assets exceeding S$10 million (~ USD 7.5 million) in value (or its equivalent in value in any foreign currency), as determined by its most recent audited balance sheet or, in the case of a corporation which is not required to prepare audited accounts regularly, a balance sheet of the corporation certified by it to give a true and fair view of the state of affairs of the corporation as of the date of the balance sheet, which date shall be within the preceding 12 months;
(iii) a trustee of a trust of which all property and rights of any kind whatsoever held on trust for the beneficiaries of the trust exceed S$10 million (~ USD 7.5 million) in value (or its equivalent in foreign currency);
(iv) an entity (other than a corporation) with net assets exceeding S$10 million (~ USD 7.5 million) in value (or its equivalent in foreign currency);
A corporation the sole business of which is to hold investments and the entire share capital of which is owned by one or more individuals, each of whom is an Accredited Investor;
A trustee of a trust the sole purpose of which is to hold investments and each beneficiary of which is an individual who is an Accredited Investor; or
An officer or an equivalent person of the person making the offer (such person being any entity) or a spouse, parent, brother, sister, son or daughter of that officer or equivalent person; or
A spouse, parent, brother, sister, son or daughter of the person making the offer (such person being an individual).

The Subscriber hereby confirms that it has the knowledge and experience to understand the risks of subscribing for the Tokens and that, of the Subscriber’s own initiative, the Subscriber has expressed an interest in the Tokens and specifically requested information with respect to the Tokens. The Subscriber's request did not come about as a result of marketing, offering or placement efforts by or on behalf of ZHBR (Singapore) Pte. Limited, its affiliated entities, holding companies, limited partners and their respective subsidiaries (together, “ZHBR ”). The Subscriber understands that ZHBR may provide information to the Subscriber in response to such specific request, or may do so in the future, either on the basis of such specific request or in response to any further specific requests from the Subscriber.
